DELECON^® DESIGN CO. – Turnkey Interior Design Terms & Conditions

These Terms and Conditions are meant to be attached with our detailed proposal / BOQ / estimate. They explain how we work, what is included, and how both parties can enjoy a clear, transparent and disciplined working relationship.

1. Formation of Contract

1.1 These Terms and Conditions, together with the detailed estimate, BOQ and scope of work shared by DELECON^® DESIGN CO. (referred to as “DELECON”), form the complete agreement between DELECON and the Client.

1.2 The Contract comes into effect once the Client confirms the appointment in writing (email / WhatsApp / signed copy) and pays the agreed appointment or advance amount.

1.3 By appointing DELECON and proceeding with services, the Client confirms that they have read, understood and agreed to these Terms.

2. Scope of Work – Turnkey Interior Services

2.1 DELECON is engaged as an interior designer and turnkey execution partner. We work as a single-point responsibility agency for:

• Design concept, space planning and material selection.
• Working drawings, 2D details and 3D concepts (as per proposal).
• Execution of interior work through our organised teams and vendors.

2.2 DELECON does not act as a “daily labour contractor”. We work in turnkey format with defined scope and agreed BOQ.

2.3 Any structural elements, building approvals, civil permissions or legal compliances related to the building / society / municipal authorities are the responsibility of the Client, unless specifically mentioned otherwise.

2.4 DELECON will share an approximate project time schedule after final approvals. These dates are estimates only, and may change due to site conditions, material availability, approvals, payment clearances or other external factors.

3. Client Responsibilities

3.1 The Client shall provide DELECON and its teams full access to the site during agreed working hours, including access to common areas where required.

3.2 The Client shall ensure continuous availability of basic utilities: electricity, water and lift access (where applicable) at no cost to DELECON.

3.3 The Client shall promptly provide necessary information, clarifications, layout confirmation and approvals when requested, so that work is not delayed.

3.4 Any delay in decisions or payments from the Client side will proportionally affect the overall project completion timeline.

4. Third-Party Suppliers (If Any)

4.1 For certain specialised items (for example: certain appliances, loose furniture brands, specialised fittings), DELECON may suggest or recommend Third Party Suppliers.

4.2 In cases where the Client directly purchases from such Third Party Suppliers, the contract for those materials or services is strictly between the Client and the Third Party Supplier.

4.3 If requested, DELECON may assist in coordination with such vendors, but will not be responsible for warranties, manufacturing delays or quality beyond what is delivered to site.

5. Appointment Amount, Payments & Billing

5.1 All fees, stage-wise payments and material charges are listed in the proposal / estimate shared by DELECON.

5.2 An initial appointment amount (for example: INR 1,00,000 or as mutually agreed) is payable to initiate:

• Site surveys
• Concept development
• 2D layout planning and drawing preparation
• Initial estimation and BOQ structuring

5.3 This appointment amount is non-refundable once design work has started, since it covers professional design time and planning efforts.

5.4 Further payments shall be made as per the mutually agreed schedule (for example: factory order stage, material delivery stage, progress stages and final finishing stage).

5.5 All payments are to be made in favour of DELECON DESIGN CO. or as specifically instructed by DELECON in writing.

5.6 Any delay in payment beyond due dates may cause work to slow down or temporarily stop, and may also affect committed timelines. DELECON shall not be responsible for delay caused due to payment lapses.

6. Cancellation & Termination

6.1 The Client may request cancellation or termination of the project in writing. In such a case, the Client agrees to pay DELECON for:

• All design work already completed.
• Materials already ordered or delivered for the project.
• Labour and services already executed on site.
• Any cancellation charges applied by suppliers.

6.2 DELECON reserves the right to suspend or terminate services if:

• Payments are repeatedly delayed or withheld.
• Access to site is denied without valid reason.
• There is any behaviour that threatens the safety or dignity of team members.

6.3 In such a case, DELECON will raise a final bill for all work and commitments up to the date of termination, which shall be payable by the Client.

7. Liability

7.1 DELECON shall not be liable for loss or damage caused by incorrect, incomplete or delayed information supplied by the Client.

7.2 DELECON shall not be responsible for indirect or consequential losses such as loss of profit, loss of rental income, or emotional stress.

7.3 DELECON is not responsible for delays or failure of performance caused by events beyond reasonable control, such as natural calamities, strikes, lockouts, transport issues, government restrictions or severe material shortages.

7.4 Any issue or complaint must be informed to DELECON in writing as soon as possible and within 7 days of noticing the concern, so that it can be practically addressed.

8. Data & Communication

8.1 DELECON will use the Client’s contact details and project information only for the purpose of:

• Design, estimation and execution related communication.
• Sharing drawings, visuals and BOQs.
• Project updates and coordination.

8.2 DELECON takes reasonable care to maintain digital and communication privacy, but cannot be held liable for rare technical breaches beyond its control, such as server hacks or email provider issues.

9. Copyright, Designs & Intellectual Property

9.1 All drawings, 2D plans, 3D views, material boards, specifications, written concepts and interior design ideas created by DELECON remain the intellectual property of DELECON^® DESIGN CO., unless otherwise agreed in writing.

9.2 The Client is granted the right to use these designs only for the specific project for which they were created, and not for replication on other sites or by other contractors without prior written permission.

9.3 DELECON reserves the right to photograph the completed project and use selected images for portfolio, website, social media or marketing, while maintaining client dignity and respecting privacy requests where reasonably possible.

10. General

10.1 DELECON may assign or subcontract certain parts of the work to trusted vendors or teams, while retaining full responsibility for overall quality and coordination as per the agreed scope.

10.2 These Terms are governed by the laws of India. Any dispute, if not resolved amicably, will fall under the jurisdiction of competent courts in Navi Mumbai / Mumbai, Maharashtra.

10.3 These Terms can be fine-tuned on a project-to-project basis through written mutual consent between DELECON and the Client.
